Terms of Service

These terms govern the use of UnitDeck Cloud, the hosted planning service at app.unitdeckstudio.com (the "Service"). They are an agreement between the organisation that holds a workspace (the "Customer", "you") and UnitDeck Studio ("we", "us"). By creating a workspace, subscribing, or using the Service you accept these terms. If you do not accept them, do not use the Service.

The marketing site at unitdeckstudio.com and the UnitDeck Local desktop app are separate products with their own notices. These terms cover the cloud service only.

2. The Service

UnitDeck Cloud is a workspace for planning projects and resources: project hierarchies, tasks and work records, files, people and equipment, assignments, availability, workload, timelines and reports, shared by the members of a workspace. The Service is intended for use by businesses and other organisations in the course of their work. It is not designed for personal or household use.

A Customer is represented by an organisation record, which is the billing entity, and one or more workspaces that hold its data. Seats are counted across the whole organisation, so splitting work into several workspaces neither doubles nor halves what is owed.

3. Accounts and access

Workspace accounts are created by us at the Customer's request or by a workspace owner inviting a person. There is no public self-service sign-up at present. The person who requests a workspace on behalf of an organisation confirms that they are authorised to bind it to these terms.

Each account is for one named person. You are responsible for keeping sign-in credentials confidential, for everything done under your accounts, and for telling us promptly at support@unitdeckstudio.com if you believe an account has been compromised. We may suspend an account that is being used in breach of these terms or in a way that threatens the Service or other customers, and will tell the workspace owner when we do.

Workspace owners and administrators control who may join their workspace and what each member may see and do. We act on their instructions for that workspace.

4. Free trial

A new organisation may use the Service free for 30 days from the day its workspace is created. No payment method is needed to start a trial. When the trial ends without a subscription the workspace becomes read-only: existing data can still be viewed and exported, but nothing new can be saved until a plan is bought. Trial data is kept as described in section 11.

5. Plans, fees and payment

Current plans and prices are published at app.unitdeckstudio.com/pricing. At the effective date of these terms they are:

  • Starter: USD 19 per month, covering 5 seats.
  • Team: USD 49 per month, covering 20 seats.
  • Business: USD 199 per month, covering 100 seats.
  • Every plan: USD 3 per month for each seat beyond those included, 25 GB of file storage per seat, and additional storage in 1 TB blocks at USD 40 per month.
  • Enterprise: seats, storage, terms and price as agreed in a written contract, invoiced and paid by bank transfer.

Subscriptions are billed monthly in advance. Prices are shown before tax; VAT, GST or sales tax for your country is added at checkout at the rate that applies there. Where the checkout shows a price in your local currency, that localised price is the price you pay.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. This means that when you subscribe, the purchase contract is between you and Paddle, Paddle charges your payment method and issues the receipt and tax invoice, and Paddle's terms for buyers (available at paddle.com/legal) apply to the payment alongside these terms. We never see or store your card details.

We may change prices or plan allowances by giving at least 30 days' notice by email to the workspace owner. A change takes effect at the first renewal after the notice period; you may cancel before then. Included storage will not be reduced for an existing subscription.

6. Seats and storage

A seat is an active member of any workspace in the organisation. Adding a member beyond the seats included in your plan adds a seat, which is charged pro rata for the rest of the current billing period and in full from the next one. Removing a member frees the seat from the next billing period.

Included storage is a ceiling, not a metered charge: when an organisation reaches its allowance, new uploads are refused until files are removed or a storage block is added. Storage blocks are added from the Billing page and billed from the day they are added.

7. Changing plan

You may move between Starter, Team and Business at any time from the Billing page. Moving to a plan that costs more takes effect immediately and the difference for the rest of the billing period is charged at once. Moving to a plan that costs less takes effect immediately and the difference is credited against your next renewal. Enterprise is agreed by contract and is not self-service in either direction.

8. Cancellation

You may cancel a subscription at any time from the Billing page, which opens Paddle's customer portal for your organisation. Cancellation takes effect at the end of the billing period already paid for: the workspace stays fully usable until then and is not charged again. After that date it becomes read-only, as in section 4. Refunds are governed by the Refund and Cancellation Policy at app.unitdeckstudio.com/refund.

9. Late or failed payment

If a renewal payment fails, Paddle retries it for a period and emails the billing contact. While a payment is outstanding the workspace stays usable. If the payment is still outstanding when Paddle stops retrying, the subscription is treated as cancelled and the workspace becomes read-only until a new subscription is bought.

10. Your data

Everything you and your members put into a workspace - projects, tasks, records, files, people and resource details, comments - is your data. You own it; we do not. You grant us the right to host, copy, back up, transmit and display it only as needed to run the Service for you, to keep it safe, and to comply with the law.

You are responsible for having the right to put that data into the Service, including any personal data about your staff and contacts. For that personal data you are the controller and we are your processor: we act on your instructions, as set out in the Privacy Policy at app.unitdeckstudio.com/privacy, and will enter into a data processing agreement on request.

Your data is stored in the United States: the database in Amazon Web Services' Northern Virginia region, hosted by Supabase, and files in Cloudflare R2 in eastern North America, with backups in the same region. The Privacy Policy names each provider and what it holds.

Workspace owners and administrators may export a complete copy of a workspace from the Service at any time. The export holds every record as CSV together with links to the files, and the download link stays valid for seven days.

11. Retention and deletion

While a subscription or trial is active, your data is kept for as long as you keep it. After a subscription ends or a trial expires, the workspace is kept read-only for 90 days so that you may export it or subscribe again, and then we may delete it. A workspace owner may ask us at support@unitdeckstudio.com to delete a workspace sooner, and we will do so within 30 days of confirming the request. Copies in our backups are removed on the backups' own rotation, within 35 days of the deletion.

We keep billing and tax records for as long as tax and commercial law require, which for Korean law is five years.

12. Acceptable use

You will not, and will not allow your members to:

  • use the Service to store or share material that is unlawful, infringing, or that you have no right to hold;
  • attempt to reach another organisation's data, or to defeat the access controls that keep workspaces apart;
  • probe, scan or test the Service for vulnerabilities without our written agreement, or interfere with its operation;
  • upload malicious code, or use the Service to send unsolicited messages;
  • resell the Service, or offer it to third parties as your own;
  • reverse engineer, decompile or otherwise attempt to derive the Service's source code, data structures, or the formulas and rules behind the figures it shows, except to the extent the law allows this notwithstanding this term;
  • copy, reproduce, publish or share outside your organisation the Service's documentation, in-app manual, screens or workflows, other than for your members' own use of the Service;
  • use the Service or a trial of it to build, train or improve a product or service that competes with it, or to carry out competitive analysis for publication;
  • access the Service by automated means other than the interfaces we provide, or extract its content or data in bulk except through the export features we offer.

We may remove material or suspend access where we reasonably believe this section has been breached, and will tell the workspace owner unless the law prevents it.

13. Availability, support and changes

We aim to keep the Service available at all times but do not guarantee uninterrupted availability except where an Enterprise contract says otherwise. We may take the Service down for maintenance, and will give notice in advance for planned work where we can. Support is by email at support@unitdeckstudio.com; we reply within one business day, and usually sooner. The Service is operated from the Republic of Korea, so a reply may arrive outside your working hours.

We improve the Service continually and may add, change or remove features. If we withdraw a feature that materially reduces what a plan offers we will give at least 30 days' notice, and you may cancel before the change takes effect.

14. Security

We protect the Service with measures that include encrypted connections, hashed passwords, sign-in throttling and lockout, sessions that expire, server-enforced separation between workspaces, an audit log of significant actions, and daily backups. No system is perfectly secure; if we become aware of a breach affecting your data we will tell the workspace owner without undue delay.

15. Intellectual property

The Service, its software, design and documentation are ours or our licensors' and remain so. These terms give you the right to use the Service for your organisation's internal purposes while a trial or subscription is active, and nothing else. The documentation and manual inside the Service, and the rules and figures they describe, are provided to your organisation and its members for that use and are confidential to them. Feedback you give us about the Service may be used by us without obligation.

16. Third-party services

The Service runs on infrastructure provided by others: Vercel for hosting, Supabase for the database, Cloudflare for file storage and network services, and Paddle for payment. Each is named in the Privacy Policy with what it holds. We choose and review these providers but do not control them, and are not responsible for an interruption that originates with them beyond what section 18 provides.

17. Warranties

The Service is provided as it is and as available. To the extent the law allows, we make no warranty that it will meet your requirements, be free of errors, or be available without interruption, and no warranty is implied by law, course of dealing or otherwise. Nothing in these terms limits a right that the law does not allow to be limited.

18. Liability

To the extent the law allows, our total liability to you for everything arising from or connected with the Service in any twelve-month period is limited to the fees you paid for the Service in that period. We are not liable for loss of profit, revenue, business, goodwill or data, or for indirect or consequential loss, however arising. Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be excluded by law.

You are responsible for keeping your own copies of data that matters to you. The export in section 10 exists for that purpose.

19. Termination

Either party may end this agreement by cancelling the subscription under section 8 or, for a trial, by asking us to delete the workspace. We may end it on 14 days' written notice if you breach these terms and do not put the breach right within that time, and immediately if the breach is serious or cannot be put right. Sections 10, 11, 15, 17, 18 and 21 survive termination.

20. Changes to these terms

We may update these terms. For a material change we will give at least 30 days' notice by email to workspace owners and on the Billing page; the change applies from the first renewal after that period, and you may cancel before then if you do not accept it. The current version is always at app.unitdeckstudio.com/terms.

21. Governing law

These terms are governed by the laws of the Republic of Korea, and the courts of Seoul have jurisdiction over any dispute, except that a consumer resident elsewhere keeps the protection of the mandatory laws of their country of residence. Your purchase from Paddle is separately governed by Paddle's buyer terms.
